When Opening from Premiere Pro or Directly, AME briefly appears in Tray and then closes.

I have added AME folder as an exception in TM, but still no Joy

Any help would be appreciated.

    First of all: does it work if you disable AntiVirus?

    Nope.  I run PC Matic.  I disabled and still the same issue.

    Did you make sure and whitelist all Adobe apps and processes in "PC Matic"?
