You don't say which Service Pack, if any you have installed. If you do not have Service Pack 3 then Windows XP lacks the support for the latest signing technologies, which the Flash Player uses (sha256 signature). If you've tried the offline installer and it didn't work, the other option is to opt-into Background Updates and see if Flash Payer will update via that update mechanism. If not, then updating the operating system to a supported version (XP SP3 at minimum) would enable you to update Flash Player. To opt-into background updates go to the Control Panel and select to view the items in Classic View. Locate the Flash Player item and open it. Go to the Updates tab and select the 'Allow Adobe to install updates (recommended)' option. Wait for the Background Update service to run.
