Flash Player install -- error code 1041

I'm trying to upgrade my adobe flash player and it keeps giving me an error code of 1041.  What is it and how can I fix it?

Hi MagChi0354,

Some process is using the Flash Player and is preventing the uninstall/install of the version you are attempting to install.  Please ensure all products that may use the Flash Player (browsers, Instant Messaging clients, and others) are closed and nothing is using Flash Player.  Also check Task Manager and ensure Flash Player related processes are not running (they'll have 'FlashPlayer' or 'FlashUtil' in the name).
