Can anyone tell me why a png when merged distorts?

I have a PNG, when merging it into the background the text on the image distorts. I am pulling this in from a separate file. The project file is 1024 X 768 and I am scaling the size of the PNG down to 322 X 210 once it is imported.

Best quality will be when you create the PNG (which is a bitmap image) in the size (resolution) you need for the CP project. Especially if you have text in it, which is normally the most 'fragile' object in any bitmap image.
