Upgrading Adobe 9 to Adobe XI

We received several Adobe XI Upgrade licenses and would like to install directly over existing Adobe 9 installs.  When installing Adobe XI over top of an existing Adobe 9, the install will not work.  It is saying to uninstall Adobe 9 first before you install Adobe XI.  Not sure why that is the case when we purchased upgrade licenses.  Is there a specific Upgrade install that I can download instead of the full Adobe XI install?

Adobe upgrades are full and independent installations.  They do not upgrade/update a previous version by modifying it, they are an independent fully functional version.
