Track matte key

I have two layers

V1 is a rectangle shape

V2 is a jpg

I'm trying to set matte on the jpg, so it can only be visible within the rectangle shape

After applying track matte, it just turns black and doesn't display anything.

Any thing I'm doing wrong?
