chroma ghosting

I am attempting to fade to black on a graphic on a white background.  I'm having an issue with the chroma "ghosting"--almost like it's not letting go before it cuts to black instead of dissolving to black.  Does anyone know what causes this and how to fix it.  Thanks:

Are the logo and white BG separate layers? Try nesting them together and then dissolving out of the nest.
