"Not enough memory to create fill layer for comp" error when using Content Fill

I'd love to know how this is even possible since I have 32 GB RAM and task manager is showing AE is using only almost close to 4GB.

I would suggest leaving a lot more than 3 GB available to your system. With 32 GB of RAM, I'd recommend giving AE 24 GB leaving 8 to the system. See if that helps anything.
